TERMS OF SALE

C.O.D. ACCOUNTS

Midstates Inc. accepts cash (some freight companies used do not), credit card or company check for payment, no personal checks. Payment is due upon receipt of goods. Invoices, not packing slips, are sent with the order.


OPEN CREDIT ACCOUNTS

To be considered for open account, a completed application (please contact a customer service rep to request application) must be submitted and approved. Once approved, terms for open accounts are Net 10th. Invoices, not packing slips, are sent with the order. Please pay by invoice as no statement will be rendered.


PAST DUE ACCOUNTS

Payments not received by the 20th will result in the account being placed on C.O.D., or credit hold.


RETURNED CHECKS

There will be a minimum of $25 charge for all returned checks.

DELIVERY / FREIGHT

Midstates Inc. offers twice daily delivery in the Denver Metro area, and Next Day delivery to over 150 cities and towns in Colorado, Nebraska, New Mexico, South Dakota and Wyoming. For all locations outside of our delivery areas we ship via UPS or LTL.


SHORTAGES / DAMAGES

All product must be inspected upon delivery.

It is the sole responsibility of the freight carrier to deliver goods intact and good condition. Therefore, all in-transit damage and lost freight must be made directly against the carrier and should be reported immediately.

All shortages and/or damaged goods must be reported to Midstates Inc. within 24 hours of delivery.

 

RETURN POLICIES

Under no circumstance will a credit be issued at the time of collecting the product authorized on the RGA. All products must be returned to Midstates Inc. and inspected before any Credit Memo is issued. No returns will be allowed on drop-ships, special orders, discontinued items, or painted products. Midstates Inc. does not issue refunds via check, cash or credit card for returned product, a credit memo will be issued to the original purchasing account and may be applied towards future purchases. Return products must be shipped prepaid to Midstates Inc. (Midstates Inc. will not make special trips to pick up returns.)


STOCK RETURNS

We encourage our customers to stock a variety of merchandise to help boost their sales. Therefore, you may return a reasonable percentage of resalable products in original boxes subject to, but not limited by, the following conditions:

  • The Item was purchased from Midstates Inc. within the past 12 months and the original invoice number is provided.
  • Product must be in re-saleable condition, free of markings and labels. Packaging must not be torn and/or cut open.
  • The return does not exceed 5% of your purchases from Midstates in the previous 12 months.
  • An RGA (Returned Goods Authorization) must be requested and issued by Midstates Inc. before any returns will be accepted. RGA's are valid for 30 days.
  • The return matches the part and description given on the RGA.
  • The freight is prepaid.
  • An offsetting order of equal or greater dollar value must be placed and shipped before any credit will be issued.

  • Due to the handling and frequent need to be re-boxed, there will be a $25 handling charge on the following products regardless of return ratio:

  • Exhaust Systems
  • Grill Guards/Headache Racks/Tailgates
  • Tool Boxes/Transfer Tanks
  • Hard Tonneau Covers

  • Any other products that require re-boxing will be subject to a minimum of a $10 handling charge.


    All new returns of electronic products will be subject to a $10 inspection fee if they are not in factory sealed packaging. No credit will be issued if the product has been installed, or is missing pieces.


    Credit will be issued upon inspection of all items. A handling/restock fee will be deducted from the original purchase price if your 12 Month Percentage of Returns to Gross Purchases Rate for Good/Resalable Product is 7.5% or greater. See complete matrix below:

  • Less than 7.5% return rate = 0% restock fee
  • 7.5% - 9.9% return rate = 10% restocking fee
  • 10% - 14.9% return rate = 20% restock fee
  • 15% - or more return rate = 25% restock fee

  • A 30% restocking charge will be applied to any items returned by accounts with a Past Due balance and the credit will be applied to the oldest open invoice(s).


    WARRANTY / DEFECTIVE RETURNS

    Midstates Inc. fully backs our manufacturers' warranties. We will handle warranty claims subject to, but not limited by, the following conditions:

  • The Item was purchased from Midstates Inc. within the past 12 months and the original invoice number is provided.
  • A full explanation is provided regarding the return/alleged warranty problem.
  • An RGA (Returned Goods Authorization) must be requested and issued by Midstates Inc. before any returns will be accepted. (RGA's are valid for 30 days only.)
  • The return matches the part and description given on the RGA.
  • A copy of the consumer's invoice has been submitted prior to receiving an RGA on all returns for Customer Satisfaction claims.
  • The return freight to Midstates Inc. has been prepaid.
  • Some manufacturers require warranty issues be handled directly with the factory.

  • Midstates Inc. reserves the right to refuse, or delay credit, subject to, but not limited by, the following conditions:

  • The Item is returned for a non-warrantable reason.
  • The Item is not as described on the RGA.
  • The Manufacturer requires that you deal directly with them regarding defective items.
  • A qualifying replacement Item is not purchased from Midstates Inc.
  • Returns sent back missing any components. Midstates Inc. will act as a liaison with the manufacturer to provide the absent pieces.

  • Midstates Inc. reserves the right to refuse any alleged warrantable and/or returnable goods and issue credit or partial credit based upon applicable manufacturers' and/or Midstates Inc.'s warranty and/or return terms, guidelines, regulations, and policies. Midstates Inc. will issue applicable credit for warrantable and/or returned goods against the original sales order if and when all warrantable and/or returned goods have been inspected and have been deemed warrantable and/or returnable. Deductions for warrantable and/or returnable goods may not be taken by the customer at the time of retrieval by Midstates Inc. or any other delivery company. Credit memos will be issued for all warrantable and/or returned goods once all goods have passed inspection and appraisal and have met all relevant manufacturers' and/or Midstates Inc.'s warranty and/or return terms, guidelines, regulations, and policies.


    PRODUCT REFUSED UPON RECEIPT OF DELIVERY OR SHIPMENT

    All products returned due to a customer's refusal to accept the delivery/shipment will be subject to a $10.00 or 25% restocking charge, whichever is greater, plus all applicable freight costs.
